These Terms & Conditions (the “Terms”) govern your access to and use of the VisaFlo platform, websites, and related services (the “Service”) provided by VisaFlo Inc., a corporation incorporated under the laws of the Republic of Korea and operating from British Columbia, Canada (“VisaFlo”, “we”, “our”, or “us”). By creating an account or using the Service you agree to these Terms on your own behalf and on behalf of the firm or organization you represent. If you do not agree, do not use the Service.
1. The Service
VisaFlo is a case management platform for immigration professionals. It includes tools for client intake, case files, forms, document collection, e-signatures, consultation booking, and integrations with third-party services. We may add, change, or remove features from time to time. The Service is a software tool only; VisaFlo does not provide legal or immigration advice and is not responsible for the professional services you deliver to your clients.
2. Eligibility and Accounts
The Service is intended for lawyers, regulated Canadian immigration consultants, and their staff. You must be at least 18 years old and authorized to bind the organization you register. You are responsible for keeping your login credentials confidential, for all activity under your account, and for ensuring that members you invite comply with these Terms. Notify us promptly at info@vflo.app if you suspect unauthorized use of your account.
3. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with the professional rules that apply to you. You must not:
- Upload or transmit content that is unlawful, infringing, defamatory, or that you do not have the right to share.
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems, or interfere with the Service's operation.
- Reverse engineer, copy, resell, or sublicense the Service except as expressly permitted.
- Use the Service to send unsolicited communications or to collect personal information without a lawful basis.
- Submit false or misleading information to government bodies through the Service.
4. Subscriptions, Fees, and Refunds
Paid features are offered on a subscription basis. Fees, billing periods, and usage-based charges are described at the time of purchase and are billed through our payment processor. Unless stated otherwise, subscriptions renew automatically until cancelled. Refunds are handled in accordance with our Refund Policy. We may change pricing with at least 30 days' notice; changes apply from your next billing period.
5. Your Content and Client Data
You retain ownership of the information you and your clients enter into the Service (“Customer Data”). You grant VisaFlo a limited licence to host, process, and display Customer Data solely to provide and improve the Service. You are responsible for obtaining any consents required from your clients to store their information in the Service and for complying with your professional confidentiality obligations. Our handling of personal information is described in our Privacy Policy.
6. Third-Party Integrations
The Service can connect to third-party services you choose to authorize, including Zoom, Google Calendar, Microsoft Outlook, cloud storage providers, and payment processors. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, security, or conduct of third-party services, and we may suspend or modify an integration if the provider changes or withdraws access. You can disconnect an integration at any time from your settings.
7. Intellectual Property
The Service, including its software, design, and content other than Customer Data, is owned by VisaFlo or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide may be used by VisaFlo without obligation to you.
8. Availability and Support
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may perform maintenance, sometimes without notice, and may suspend access to protect the Service or comply with law. Support is available by email at info@vflo.app and through our help centre.
9. Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, VisaFlo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Automated features such as form autofill, document review, and AI-generated drafts are aids only; you remain responsible for reviewing all output before relying on it or submitting it to any authority.
10. Limitation of Liability
To the maximum extent permitted by law, VisaFlo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising out of or related to the Service. VisaFlo's total liability for all claims relating to the Service in any 12-month period will not exceed the fees you paid to VisaFlo for the Service in that period. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnity
You will defend and indemnify VisaFlo against claims, losses, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Service in breach of these Terms, or your professional services to your clients.
12. Term and Termination
These Terms apply for as long as you use the Service. You may cancel your subscription at any time from your account settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your account is unpaid after notice. After termination you may export your Customer Data for a reasonable period, after which we may delete it in accordance with our data retention practices.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will notify you by email or through the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts located in British Columbia for any dispute arising out of or relating to these Terms or the Service.
15. General
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and VisaFlo regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver.
